Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DIVY CHI Pvt. Ltd. ("DivyCHI," "we," "our," or "us"), governing your access to and use of the DivyCHI platform, APIs, mobile applications, and all related products and services (collectively, the "Services").
By creating an account, accessing the Services, or clicking "Agree," you confirm that you have read, understood, and accept these Terms in their entirety, including our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity, and references to "you" shall mean that entity.
Eligibility
To access or use DivyCHI Services, you must meet the following requirements:
- Age: you must be at least 18 years of age, or the legal age of majority in your jurisdiction if higher. DivyCHI is not directed at or intended for individuals under 18.
- Legal capacity: you must have the legal capacity to enter into binding contracts under applicable law.
- Not prohibited: you must not be a person barred from using the Services under applicable law, including being listed on any governmental export exclusion list or sanctions list.
- Not previously banned: you must not have had a DivyCHI account previously terminated for cause.
We reserve the right to refuse access to any person or entity at our sole discretion.
Account Registration
To access most features of the Services, you must register for an account. When doing so, you agree to:
- Provide accurate, current, and complete information during registration and keep it updated.
- Maintain the confidentiality of your login credentials and not share your account with any third party.
- Accept full responsibility for all activities that occur under your account, whether or not authorised by you.
- Notify us immediately at support@divychi.com if you suspect any unauthorised access to or use of your account.
Permitted Use
Subject to your compliance with these Terms and any applicable plan limits, DivyCHI grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your lawful, internal business or personal purposes.
API Access
If you access DivyCHI via our API, you may use the API to build applications and integrations, provided those applications comply with these Terms and our API Usage Policy. You must not sub-license, resell, or redistribute API access without our express written permission.
Acceptable Purposes
- Research, analysis, writing, coding, reasoning, and creative tasks within the scope of your subscription plan.
- Integrating DivyCHI capabilities into your own lawful products and workflows via our API.
- Educational and academic use, subject to applicable plan terms and our fair use guidelines.
Prohibited Conduct
You may not use the Services for any purpose that is unlawful, harmful, or otherwise prohibited by these Terms. Without limitation, you must not:

| IP infringement | Reproducing, distributing, or creating derivative works from third-party copyrighted material without authorisation |
| Platform abuse | Circumventing rate limits, sharing accounts, automated scraping, or attempting to reverse-engineer the models |
Subscriptions & Billing
Access to DivyCHI Services is provided on a subscription basis. By subscribing, you agree to pay all fees associated with your chosen plan in accordance with the pricing in effect at the time of your subscription.
Billing Cycle
Subscriptions are billed monthly or annually depending on your selected plan. Billing occurs at the start of each billing period. All fees are stated exclusive of applicable taxes, which will be added at checkout where required by law.
Auto-Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Cancellation takes effect at the end of the current paid period — you retain access until then.
Refunds
Fees paid are generally non-refundable except as required by applicable law or as set out in our Refund Policy. We do not provide partial-period refunds upon cancellation.
Plan Changes
- Upgrades take effect immediately; you will be charged a prorated amount for the remainder of the billing period.
- Downgrades take effect at the start of the next billing period. No credit is issued for the difference in the current period.
Intellectual Property
Our Property
DivyCHI and its licensors own all right, title, and interest in and to the Services, including all underlying models, software, algorithms, interfaces, trademarks, logos, and documentation (collectively, "DivyCHI IP"). Nothing in these Terms transfers any ownership of DivyCHI IP to you. Your use of the Services does not grant you any rights in DivyCHI IP other than the limited licence expressly set out herein.
Your Ownership of Outputs
Subject to your compliance with these Terms, you own the outputs generated by DivyCHI in response to your inputs ("Outputs"), to the extent permitted by applicable law. You are responsible for ensuring your use of Outputs complies with all laws, including intellectual property law. DivyCHI makes no representation that Outputs are free from third-party claims.
Feedback
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant DivyCHI a perpetual, irrevocable, royalty-free, worldwide licence to use and incorporate such Feedback into our products without any obligation to you.
User Content
You retain ownership of all text, files, data, code, and other materials you submit to the Services ("User Content"). By submitting User Content, you grant DivyCHI a limited, non-exclusive licence to process and use your User Content solely to provide and improve the Services, in accordance with our Privacy Policy.
- You represent and warrant that you have all necessary rights to submit your User Content and that it does not infringe any third-party rights.
- You must not submit User Content that is illegal, harmful, defamatory, obscene, or that violates these Terms.
- Enterprise plan customers may opt out of having their User Content used for model training. All other plans default to opt-in for anonymised training use, which may be changed in account settings.
AI Outputs & Accuracy
DivyCHI provides artificial intelligence-powered Services. You acknowledge and agree that:
- Outputs are not guaranteed to be accurate. AI-generated content may contain errors, omissions, outdated information, or hallucinations. Always verify important information independently.
- Outputs are not professional advice. Nothing produced by DivyCHI constitutes legal, medical, financial, psychological, or other professional advice. Consult a qualified professional for such matters.
- You are responsible for your reliance on Outputs. DivyCHI is not liable for any decisions made or actions taken based on AI-generated content.
- Outputs may not be unique. Similar inputs from different users may produce similar or identical Outputs. DivyCHI does not represent that Outputs are exclusively yours.
Confidentiality
In the course of using the Services, you may have access to information that DivyCHI designates as confidential, including technical documentation, roadmap details, and non-public pricing information ("Confidential Information"). You agree to:
- Use Confidential Information only for the purpose of using the Services as permitted under these Terms.
- Not disclose Confidential Information to any third party without our prior written consent.
- Protect Confidential Information with at least the same degree of care you use for your own confidential information, but in no event less than reasonable care.
These obligations do not apply to information that is or becomes publicly available through no fault of yours, was already known to you, or is required to be disclosed by law or court order (provided you give us prompt notice where lawfully permitted).
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
- DivyCHI expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.
- We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
- We do not warrant that any defects will be corrected, or that the Services will meet your specific requirements.
- Any content or material downloaded or obtained through the Services is done at your own risk.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIVYCHI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities.
- Any damages arising from your reliance on AI-generated Outputs, or from your inability to access or use the Services.
- Any unauthorised access to or alteration of your transmissions or data.
- Any conduct or content of third parties on or through the Services.
In any case, DivyCHI's aggregate liability to you for all claims arising from or related to the Services shall not exceed the greater of (a) the total fees paid by you to DivyCHI in the twelve (12) months immediately preceding the event giving rise to liability, or (b) INR 5,000 (or equivalent).
Indemnification
You agree to defend, indemnify, and hold harmless DivyCHI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Services in violation of these Terms or applicable law.
- Your User Content or Outputs, including any claim that such content infringes a third party's intellectual property or other rights.
- Your violation of any third party's rights, including privacy, publicity, or contractual rights.
- Any application, product, or service you build using the DivyCHI API that causes harm to a third party.
DivyCHI reserves the right to assume exclusive control of any matter subject to indemnification, and you agree to cooperate fully with our defence of such claims.
Termination
Termination by You
You may terminate your account at any time by cancelling your subscription through your account settings or by contacting support@divychi.com. Upon cancellation, your access continues until the end of your current billing period.
Termination by DivyCHI
We may suspend or permanently terminate your access to the Services at any time, with or without notice, if we reasonably believe:
- You have violated these Terms or our acceptable use policies.
- Your use poses a security or legal risk to DivyCHI or other users.
- Your account has been inactive for more than 24 consecutive months.
- We are required to do so by applicable law or a competent authority.
Effect of Termination
Upon termination, your licence to use the Services ceases immediately. We may delete your account data in accordance with our Privacy Policy. Sections 7, 11, 12, 13, and 15 survive termination.
Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the matter through good-faith negotiation for a period of thirty (30) days following written notice of the dispute.
If the dispute is not resolved through negotiation, it shall be finally settled by binding arbitration administered under the Arbitration and Conciliation Act, 1996 (India), with a sole arbitrator agreed upon by both parties. The seat of arbitration shall be Bengaluru, Karnataka, India. Arbitration shall be conducted in English.
Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by:
- Sending an email to the address associated with your account at least 14 days before the changes take effect.
- Displaying a prominent notice within the Services.
- Updating the "Last Updated" date at the top of this page.
Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Services and may terminate your account.
For non-material changes (such as formatting corrections, typographical fixes, or clarifications that do not affect your rights), we may update these Terms without advance notice.
